I. Recitals

1. The free2work GTC are issued by Free2group s.r.o., Id. No.: 02103460, a company registered in the Commercial Register kept by the Municipal Court in Prague, Section C, Inset 215535 (hereinafter the “Provider”) in accordance with the provisions of the applicable legal regulations, especially Section 1751 et seq. of Act No. 89/2012 Coll., the Civil Code, as amended (hereinafter the “Civil Code”).
2. The free2work GTC become part of the Membership Agreement on the Use of free2work and any amendments thereto (hereinafter the “Agreement”) concluded between the Provider and the client – i.e. natural or legal person who becomes a member of the free2work project on the basis of the Agreement (hereinafter the “Member”). The Provider and the Member may jointly be referred to as the “Parties”. The free2work GTC define and supplement certain parts of the content of the Agreement.

II. Definitions

1. In the mutual relationships between the Provider and the Member, the following terms shall have the respective meanings:
“free2work” – project operated by the Provider established for the purpose of provision of co-working services connected with the use of a shared working space and administrative support within the free2work Premises.
“Co-working” – a concept of shared working space.
“free2work Premises” – premises on which services of the free2work project are provided to the Members.  They are situated in a building located at Karlovo náměstí 325/7, Prague 2 – Nové Město, 120 00, on the 4th floor, and provide its Members with a shared working space – openspace with a reception desk and, during opening hours, also a kitchenette and Lounge. The entrance to the main building is safeguarded by a 24/7 gateway service.
“Member” – any domestic and/or foreign natural and/or legal person that enjoys full legal capacity and has concluded an Agreement with the Provider can become a member. The membership applies only to the Member and is, as a rule, not transferable.
“Non-Member” – a person other than the Member who did not conclude an Agreement with the Provider but is interested in using the services of free2work.
“Tariff” – tariff means a type of the Member's membership established by the Agreement; free2work offers the following tariffs: Almost Free, Total Free, Absolut Free for natural persons and tariffs Free Company and Free NPO for legal persons; the scope of the services provided in the framework of the individual Tariffs is described in further detail in Article III. of these free2work GTC.
“Identification Card” – a card which is used to demonstrate valid membership of the Member, access to the free2work Premises and for keeping records of and payment for other services
provided to the Member. Each Member is obliged to register his/her entry into and exit from the free2work Premises by bringing the Identification Card into contact with the terminal located at the reception desk of the free2work Premises.
“Access Card” – a card enabling access to the main building through electronic turnstiles at the gateway located behind the main entrance into the building.
“Fixed Desk” - a desk reserved for a Member with tariff Absolut Free, Free Company or Free NPO; the desk is not available to other Members and Non-Members. The Fixed Desk is designated by the Member's name tag.
“Free Desks” – are all desks other than the Fixed Desks and are available to all members with tariffs Almost Free and Total Free and to the Non-Members.
“Lounge” – area defined in Art. VI. of these free2work GTC.
“Billing Period” – equals one calendar month.
“Events” – are events organised according to Article XI. of these free2work GTC.

III.        Types of Membership, Non-Members, Visitors to Events

1.         Based on the applicable Tariffs, memberships of the following types are available: Almost Free, Total Free and Absolut Free for natural persons and Free Company and Free NPO for legal persons.
•           The tariff Almost Free provides the Members with a working space at Free Desks for a total of 5 business days during opening hours of the co-working office, i.e. the free2work Premises, during one billing period, irrespective of the total number of hours of work in the framework of these days and opening hours of the free2work Premises. The Member will receive the Access Card and the Identification Card. The Member is also entitled to a number of benefits and preferential offers of other free2work services, access to the Lounge area and access to the kitchenette during opening hours.
•           Tariff Total Free provides the Members with a working space at Free Desks without any limitation during the opening hours of the free2work co-working office. The Member will receive the Access Card and the Identification Card. Each Member is also entitled to a number of benefits and preferential offers of other free2work services, access to the Lounge area and access to the kitchenette during opening hours.
•           Tariff Absolut Free provides the Member with an unlimited access to his/her own Fixed Desk, independent of the opening hours of the free2work coworking office. In addition to the Access Card and the Identification Card, the Member also receives a key to the free2work Premises. Each Member is also entitled to a number of benefits and preferential offers for other provided free2work services, unlimited access to the Lounge area and access to the kitchenette during opening hours.
•           Tariff Free Company is intended for legal persons. Each Member with the Free Company Tariff is entitled to use the Fixed Desk for 4 persons and is granted access for up to 4 persons at a time. No more than 8 persons may access the co-working office using the account of a Member with the Free Company Tariff.
The Member shall provide the Provider, in advance, with a list of up to 8 persons specifying their names and surnames who may use the services on behalf of the Member with the Free Company Tariff. Each Member with the Free Company Tariff will obtain up to 8 Access Cards, up to 8 Identification Cards and up to 8 keys to the free2work Premises. Each Member is also entitled to a number of benefits and
preferential offers of other free2work services, unlimited access to the Lounge area and access to the kitchenette during opening hours.
•           The Tariff Free NPO is intended only for non-profit organisations and is subject to the same rules as the Free Company Tariff.
2.         The prices of the individual Tariffs, other and additional services are governed by the applicable Price List and the Visitor Rules.
3.         Non-Members are entitled to use the shared working space of the free2work Premises on a one-off basis, but only based on an one-off decision of the Provider. Non-Members cannot claim a Free Desk in any way.
4.         In case of an Event, the contractual relationship between the Provider and participants in the Event is governed by a separate agreement concluded in each case between the Provider and the organiser of the Event, these free2work GTC, the Visitor Rules and the Price List and/or, in case of Events organised by the Provider, by the Visitor Rules, these free2work GTC and the Price List.

IV.       Establishment, Term and Termination of Membership

1.         Membership in the free2work project is established upon execution of the Agreement.
2.         Membership is established for the term specified in the Agreement with possible prolongation in the manner and under the terms and conditions stipulated in the Agreement.
3.         Membership is established for a fixed or indefinite term; if membership is established for a fixed term, it may take the form of a short-term membership as individually agreed between the Member and the Provider or a long-term membership for the term of 6 (six) consecutive Billing Periods or 12 (twelve) consecutive Billing Periods.
4.         Membership terminates upon expiry of the agreed term, by agreement of the Parties or by written notice with effect from the first day of the Billing Period following after the Billing Period in which the notice of any of the Parties was delivered to the other Party.
5.         The Provider and/or the Member may terminate the membership vis-á-vis the other Party on the basis of a written notice with effect from the first day of the Billing Period following after the Billing Period in which the notice was delivered to the other Party; in that case, the Provider is obliged to refund the proportional amount for the unused membership term to the Member.  This does not apply in case of breach of the Member's obligations stipulated by these free2work GTC, the Agreement, the Visitor Rules, the Price List and the applicable legal regulations as specified in paragraph 7 of this Article of these free2work GTC. In that case, the Provider's notice becomes effective on the first day after the delivery of the notice to the Member and the Member is not entitled to a refund of the proportional amount for the unused term.
6.         In case of a long-term membership – i.e. membership which is concluded for the term of 6 (six) or 12 (twelve) consecutive Billing Periods, the Member may terminate the membership on the basis of a written notice with effect from the first day of the Billing Period following the Billing Period in which the notice regarding the Member was delivered to the Provider; in that case, however, the Member is obliged to pay a fee to the Provider for the entire term of the Membership. To avoid any doubts, the Provider expressly states that the
first sentence of paragraph 5 of this Article of these free2work GTC does not apply to long-term memberships.
7. The Provider may terminate the Agreement unilaterally with immediate effect as of the date of delivery of the notice of termination to the Member (irrespective of the duration of the membership) if the Member breaches these free2work GTC, the Agreement, the Visitor Rules, the Price List and the applicable legal regulation, in particular, by:
- breaching the free2work GTC and/or the Visitor Rules through his/her conduct or his/her conduct is in direct contradiction with the concept of Co-working as a shared working space
and/or
- being in delay exceeding 25 days with payment of the monetary obligations towards the Provider following from their contractual relationship.

V. Access to Services of free2work and to the free2work Premises

1. The opening hours of the co-working office, i.e. the free2work Premises, are from 08:00 a.m. to 06:00 p.m. on business days from Monday to Friday. On weekends and on public holidays, the free2work office is closed and is accessible only to members with tariffs Absolut Free, Free Company and Free NPO.
2. The entitlement to the services provided is differentiated according to the Member's Tariff.
3. A Member with the tariff Almost Free has access to a Free Desk during opening hours of the office for up to five business days irrespective of the total number of hours worked in the framework of these days. The maximum number of hours is thus 50 hours per week. To this end, the Member receives the Access Card and Identification Card, as well as access to high-speed Internet (both cable and WIFI connection) and access to the Lounge and to the kitchenette during opening hours of the office.
4. A Member with the tariff Total Free has the Access Card and Identification Card and access to a Free Desk without limitation during opening hours of the office, as well as access to high-speed Internet (both cable and WIFI connection) and access to the Lounge and to the kitchenette during opening hours of the office.
5. A Member with the tariff Absolut Free has unlimited access to the service of shared working space, as well as his/her own Fixed Desk designated by a name tag. In addition to the Access Card and Identification Card, the Member also receives a key to the free2work Premises allowing him to plan his/her working schedule fully according to his/her needs. The Member also has access to high-speed Internet (both cable and WIFI connection) and unlimited access to the Lounge and to the kitchenette during opening hours of the office.
6. A Member with the tariff Free Company and Free NPO also has unlimited access to the service of shared working space, for up to 4 persons at a time, to a Fixed Desk designated by a name tag – title under which the Member utilises the membership. The service of shared working space cannot be utilised simultaneously by more than 4 persons from the list of maximum 8 persons provided to the Provider in advance.
The Member also has access to high-speed Internet (both cable and WIFI connection) and unlimited access to the Lounge and to the kitchenette during opening hours of the office.
7.         The Provider reserves the right to use the premises of the coworking office to organise Events. In that case, all Members will be provided temporarily with working place in the conference rooms.
8.         Only Members with the tariffs Absolut Free, Free Company and Free NPO may enter the premises outside the working hours of the free2work office. Visitors and persons accompanying the Members may enter the premises outside of the working hours only based on prior agreement of the Member with the Provider and under the terms stipulated individually by the Provider.

VI. Other Services

1. The Lounge serves as a resting zone, as well as an area for short meetings of the Members with their clients (not exceeding 1 hour). The Lounge is not intended for longer meetings; to this end, the Member may book a conference room or have the clients accompanied to the working table under preferential price terms.
2. The kitchenette with service personnel is available to all Members during opening hours of the free2work office.
VII. Access Cards, Identification Cards, Keys
1. Members with tariffs Almost Free, Total Free and Absolut Free will receive an Access Card within 5 business days of execution of the Agreement.Members with tariffs Free Company and Free NPO will receive, within the said deadline, up to 8 Access Cards as required by the Member. An Access Card is not transferable and is the property of the Provider. The Member is obliged to handle the Access Card with proper care, protect it from damage, destruction, theft or misuse by third parties; he may not lend it to any other person and, if someone else's Access Card is found, he is obliged to hand it over at the reception desk of free2work during his/her next visit. In case of a loss or destruction of the Access Card, the Member is obliged to report it without delay at the reception desk of free2work (also by telephone or e-mail). In case of a loss or destruction of the Access Card, the Member will be charged a fee of CZK 200.00. An Access Card enables access to the main building through electronic turnstiles at the gateway located behind the main entrance into the free2work building.
2. Members with tariffs Almost Free, Total Free and Absolut Free will also receive an Identification Card within 5 business days of execution of the Agreement.Members with tariffs Free Company and Free NPO will receive, within the said deadline, up to 8 Identification Cards as required by the Member. The Identification Card is not transferable. The Member is obliged to handle the Identification Card with proper care, protect it from damage, destruction, theft or misuse by third parties; he may not lend it to any other person and, if someone else's Identification Card is found, he is obliged to hand it over at the reception desk of free2work during his/her next visit. In case of a loss or destruction of the Identification Card, the Member is obliged to report it without delay at the reception desk of free2work (also by telephone or e-mail). In case of a loss or destruction of the Identification Card, the Member will be charged a fee of CZK 200.00. The Identification Card is used to demonstrate valid membership, access to the free2work Premises and for keeping records of and payment for other services provided to the Member.
The Member is obliged to register his/her entry and exit by bringing the Identification Card into contact with the terminal located at the reception of free2work.
3. Members with the tariff Absolut Free will receive, in addition to the Access Card and the Identification Card, also a key to the free2work Premises (hereinafter the “Key”). The above paragraphs apply to the Keys.
4. Members with tariff Free Company and Free NPO will obtain up to 8 Identification Cards. These Identification Cards are issued in a particular name, but are only assigned to one billing account of the Member. A list of names of up to 8 persons that the Member provides to the Provider in advance can be changed in each case as of the 1st day of the calendar month or, subject to individual prior consent of the Provider, even more frequently. The Member is liable to ensure that the persons specified in the list will respect and abide by the above provisions, as well as the free2work GTC, the Agreement, the Visitor Rules and the Price List. Similarly, the Member will obtain up to 8 Access Cards and up to 8 Keys. The above provisions apply to the Keys.
5. The Member is not entitled to utilise the services without presenting the Identification Card.
6. In case of termination of membership, the Member is obliged to return the Access Card, the Identification Card and the Key within 5 business days of the date of termination of the membership.

VIII. Electronic System – Member Section

1. Upon execution of the Agreement, the Member is granted access to the Member Section at www.free2work.cz in the “Access for Members” tab (hereinafter the “Member Section”) where he can view the scope of utilisation of the services.
2. The Member Section also serves as a booking system.

IX. Visitor Rules

1. The Visitor Rules supplement and form an integral part of these free2work GTC.
2. They are displayed at all times on the free2work Premises.
3. They identify a person responsible for dealing with the Members on behalf of the Provider for the purposes referred to in the Agreement.
4. They stipulate prices for variable products and other services (see below).

X. Other Services

1. Other services provided to the Members outside of membership and outside of the selected Tariff include particularly:
• Conference room bookings:
The free2work office also offers two conference rooms intended for short-term use. The Members can book a conference room, as well as other services and equipment, using the Member Section at www.free2work.cz or e-mail pronajem@free2work.cz. The prices for utilisation of the individual conference rooms are given in the applicable Price List.
If booking is cancelled less than 24 hours before the time when the use is to begin, the Member will be charged a cancellation fee in the amount of the price of the booking. The Provider does not guarantee availability of the conference room.
• Projector
Large conference rooms and the conference hall are equipped with Full HD projectors with HDMI connection. The price for one hour of use of the projectors is regulated by the Price List.
• Shared Assistant
The Members can use the services of an assistant who will help with regular office agenda such as drawing up the minutes of meetings, distribution of correspondence, dictation of texts, arrangement of matters with governmental authorities, creation of electronic documents (presentations, etc.), answering calls during a meeting or an appointment, convening an internal meeting, etc. The scope of the service depends, in each case, on prior agreement between the Member and the assistant. The price of the service of shared assistant is regulated by the Price List. The Provider reserves the right to reject an order of a service in view of the current work load of the assistant.
• Printing
A laser printer including scanner and copying machine is available to the Members and visitors during the opening hours. To print and copy documents, it is necessary to contact the office manager or assistant present on the premises. The prices of printing and copying of documents are given in the Price List.
• Lockable cabinet
The Members may lease a lockable cabinet on a monthly basis. The prices of lease of lockable cabinets are differentiated according to the selected Tariff and are regulated in the Price List. The Provider is liable for the contents of the cabinet up to CZK 2,000.00. The Member may not store items with a value exceeding CZK 2,000.00 in the cabinet.
The Provider reserves the right to reject an order for additional services according to this Article with regard to its current work load.

XI.
Events

1. In accordance with the concept of Co-working, the free2work Premises are also used to organise various types of events. The Members may attend events organised by the Provider for the public and the Members of free2work at favourable rates according to the applicable Price List. The list of scheduled events is published at the website www.free2work.cz under the “Event Calendar” tab.
2. Based on prior agreement between the Members and the Provider, the Members may organise their own community events on the basis of a separate agreement concluded with the Provider. These are not-for-profit events and the designated organiser is responsible for their contents and course.

XII. Price List

1. The Provider is entitled to a fee for the provision of services to the Member (hereinafter the “Membership Fee”) according to the Price List which regulates the prices based on the individual tariffs for services provided to the Member by the Provider (hereinafter the “Price List”). The Price List is available on the free2work Premises or on the website at www.free2work.cz.
2. The Provider may change the current Price List unilaterally only provided if such a change is made not more than 1x (once) during the term of the Membership for a fixed term and 1x (once) during a period of 12 (twelve) consecutive Billing Periods in case of membership for an indefinite term.

XIII.     Payment Terms

1.         The Membership Fee in the amount based on the selected Tariff stipulated in the Price List is payable in each case on the 7th day of the Billing Period for which the payment is made and shall be paid into the Provider's account No. 107-7470310267/0100 kept by Komerční banka, a.s. or in cash at the reception desk of free2work during the opening hours of the office unless the Agreement stipulates otherwise. As variable symbol, the Member will specify the number of the relevant invoice. The 1st day of the Billing Period – i.e. the 1st day of the calendar month – is deemed the date of taxable supply in each case.
2. Other and additional services can be paid either by way of an advance on services through the Member's pre-paid Identification Card at the reception desk of free2work or in cash at the reception desk of free2work. The Member can view the balance of his/her account and the scope of utilisation of the services in his/her Member Section of the Electronic System. In case of termination of membership, the unused amount of the advance on services is refunded to the Member.
3. In the event of the Member’s delay with any payment under the Agreement and/or these free2work GTC and/or the Visitor Rules, the Parties agree on a contractual penalty in the amount of 0.5% per day of the outstanding amount for each, even incomplete, day of the delay.

XIV. Rights and Obligations of the Parties

1. The Member agrees to comply with the obligations stipulated by the free2work GTC, the Agreement, the Price List, as well as the Visitor Rules.
2. The Member agrees to pay, in a due and timely manner, any and all fees for which the Member is liable according to the Agreement, the free2work GTC, the Visitor Rules and the Price List.
3. The Provider is obliged to ensure that the Member can exercise, properly and without any disturbance, his/her rights and obligations under the Agreement, the free2work GTC and the Visitor Rules.
4. The Provider is not liable for damage resulting from a loss of profits, loss of confidential or other information, interruption of business activity, damage to health, loss of privacy, impossibility to fulfil obligations following from business activity, negligence, monetary loss or any loss incurred in connection with the use or inability to use the free2work Premises or the related services.
5. The Provider is not liable for any loss, theft or damage to personal property of the Member that the Member left at a place not specifically designated for such purpose. Personal property of a Member means, in particular, notebook, mobile phone, tablet, clothes, baggage, wallet, watch or books.

XIV. Amendments to GTC and Visitor Rules

1. The Provider reserves the right to unilaterally change these free2work GTC to an appropriate extent. However, each Member must be informed of such a change by way of a change notice sent to the Member's contact e-mail at least 15 days in advance and such change can be made, in each case, only as of the 1st day of the calendar month. On the basis of such a change, the Member may terminate his/her membership by a written notice according to Art. IV of these free2work GTC.
2. The Provider reserves the right to change the Visitor Rules unilaterally and flexibly in accordance with operative practice of conflict-free functioning of the concept of Co-working and with a view to determining variable prices for additional services which the Member subsequently orders on an individual basis and which are not included in the Tariff.

XV. Delivery of Documents

1. Any notice or document that is to be delivered under the Agreement may be delivered in person or sent by registered mail to the Party to which it is to be delivered, to its address indicated in the header of the Agreement, or to any other address notified by this Party to the other Party in accordance with this Article, or to the e-mail address specified in the header of the Agreement, or to any other address notified by this Party to the other Party in accordance with this Article. Delivery in the form of an e-mail message is considered to be the priority method of delivery. Any such notice or document is considered delivered:
(i) if delivered in person, at the time of delivery or at the time of refusal to accept the delivery, or
(ii) if sent by mail and there are doubts as to the date of delivery, on the fifth business day after the date of posting.
(iii) if sent by electronic mail (e-mail) and there are doubts as to the date of delivery, on the fifth business day after the dispatch by the sending Party.
2. In order to prove delivery, it will suffice to prove that the delivery has taken place and that the envelope containing the notice or document was properly addressed and posted as registered mail with postage prepaid, that the e-mail message was sent from the sender’s e-mail box.

XVI. Final Provisions

1. The Member agrees, in terms of Act No. 101/2000 Coll., on personal data protection, as amended, with processing of personal data which will be provided by the Member to the Provider in connection with the conclusion, existence and termination of the Agreement. The consent to processing of personal data provided to the Provider is granted for the purposes of negotiations on the conclusion of the Agreement, for the purposes of granting the membership and for acts associated with the granting of membership and for the purpose of other procedures related thereto for the term of the membership. The consent is being granted in respect of the following personal data: name and surname, company name, date of birth, place of residence, contact e-mail and telephone, Id. No., Tax Id. No., bank, photograph of the Member. The Member grants his/her consent to processing and transferring of personal data voluntarily and has the right to revoke the consent at any time after the expiry of the Agreement. The Member has the right to access his/her personal data provided to the Provider, as well as the right to have his/her personal data corrected.
2. If any provision of the Agreement becomes invalid or unenforceable, this will in no way prejudice the validity and enforceability of other provisions of the Agreement.
3. If any of the Parties neglects or waives any non-performance, breach, delay or non-compliance with respect to any obligation following from the Agreement, such conduct will not constitute a waiver of such obligation with respect to its continuing or subsequent non-performance, breach, delay or non-compliance and no such waiver will be considered to be effective unless it is expressed in writing specifically for each individual case.
These free2work GTC were issued by the Provider in Prague on 1 January 2015
